Terms of service

1. Scope of these terms

These terms apply to your use of the 聆打 Linda website (https://linda.111.net.tw), the Windows desktop application, the Android application and the related APIs and services (together, "the Service").

By registering an account, downloading or using the Service you confirm that you have read, understood and agreed to these terms. If you do not agree, please stop using the Service.

2. Definitions

To avoid confusion, the following words have specific meanings in these terms:

• Member: a user who has registered and holds an account for the Service.
• Trial period: the period during which a newly registered member may use the Service free of charge, currently 7 days.
• Monthly fee: the fee payable for each month of the Service, currently NT$300.
• Top-up account: the balance a member has paid in. It may only be used to pay the monthly fee and cannot be withdrawn.
• Commission account: the balance earned by referring others. It can be withdrawn or used to pay the monthly fee.
• Affiliate: a paying member who qualifies for referral commission.

3. Accounts and eligibility

When you register you must provide accurate, complete information and keep it up to date. You must also meet the following conditions:

• You are at least 18 years old, or have the consent of your legal guardian.
• The email you provide is a mailbox you personally can access (account verification, billing notices and payout notices are all sent there).
• You will keep your password and device keys safe, and will not transfer, rent out or share your account.

Everything done with your account is treated as done by you. If you believe your account has been compromised, tell us immediately and change your password; usage and charges that occur before you notify us are, as a rule, your responsibility.

4. Free trial

Every newly registered member gets a 7-day free trial with no payment and no credit card. A daily recognition cap may apply during the trial; the figure shown in the member center is authoritative.

Trial eligibility is per person, not per account. Registering repeatedly with multiple email addresses (including +aliases, Gmail dot variants and similar tricks) to get extra trials is a breach of these terms; we may stop serving the accounts involved and cancel any commission they generated.

5. Monthly fee and how it is charged

The Service is prepaid: you top up first, and we deduct afterwards. It is not a credit card subscription. It works like this:

• You choose a top-up plan and pay for it, and the full amount goes into your top-up account.
• Each month the system deducts one monthly fee from your wallet and extends your access by another month.
• Deduction order: the commission account first, then the top-up account (spending withdrawable money first saves you a payout fee).
• If your balance is too low we notify you by email and give you a 3-day grace period, during which the Service continues as normal.
• If you have still not topped up when the grace period ends, the account is suspended and your data is kept. It is reactivated as soon as you top up.

We will never charge your credit card without an action from you. You can stop topping up at any time; when the wallet balance runs out the Service simply ends, with no debt and no penalty.

6. The wallet and its two accounts

Your wallet is split into two separate accounts with different rules:

• Top-up account: money you paid in yourself. It is prepayment for a service and may only be used to pay the monthly fee; it cannot be withdrawn as cash.
• Commission account: commission earned by referring others. It can be withdrawn as cash or used to pay your own monthly fee.
• Every change of balance creates a ledger entry that you can inspect line by line in the member center. If you believe an amount is wrong, contact us within 30 days of noticing it.

7. Refunds

Because a top-up balance can be used against the monthly fee at any time and never expires, we do not as a rule refund it in cash. Any unused balance stays in your account until it is used up.

If something is our fault — a duplicate charge, a calculation error, or an extended outage — contact us and we will verify it and either restore the balance or arrange a refund as appropriate. Your rights under consumer protection law are not affected by this clause.

8. Affiliate status and referral commission

Members with an active paid plan automatically qualify as affiliates; no separate application or approval is needed. The commission rules are:

• Members who register through your referral link are attributed on a first-touch basis, with an attribution window of 90 days.
• Every time a referred member is successfully charged their monthly fee, you earn a commission of 30% of that fee.
• Commissions recur on each payment by the referred member, but are capped at 6 months per referred member, counted from their first payment. You can keep earning by continuing to refer new users.
• You must still be a paying member at the moment commission is generated. If your account is suspended or expired at that time, no commission is created and it cannot be claimed later.
• You may not refer yourself, and you may not use dummy accounts, fake registrations or misleading advertising to earn commission.
• The commission rate is currently 30%. We may adjust it. Any change will be announced on this page and notified by email, taking effect 30 days after the announcement. Changes apply only to commissions generated on or after the effective date; commissions already generated are not affected and will not be recalculated.

9. Payouts

Withdrawing your commission balance works as follows:

• Each commission is locked for 30 days from the day it is created, then becomes withdrawable automatically.
• Once your withdrawable balance reaches NT$2,000, you can submit a payout request in the member center.
• When you submit a request, the system first deducts next month's fee (NT$300) from your commission balance and then wires the remainder, so that you do not withdraw everything and lose the service the next day.
• Payouts are made by bank transfer (Taiwan) and processed manually. The NT$15 transfer fee is paid by the recipient and deducted from the amount wired.
• Overseas affiliates may be paid via PayPal. Because of Taiwanese regulations in force since 2017, PayPal cannot be used between accounts inside Taiwan.

After a payout request is submitted, if we find that the underlying commission came from a breach of these terms, a refunded referral or a disputed transaction, we may hold the payout and recalculate it.

10. Usage restrictions

When using the Service you must not:

• Resell, rent out or share your account or device keys with anyone else.
• Use scripts, plugins or any other means to get around daily usage limits, billing or security mechanisms.
• Reverse engineer, scrape or stress test the Service, or attempt to gain unauthorised access.
• Upload or transcribe unlawful content, or content that infringes the rights, privacy or trade secrets of others.
• Use the Service for fraud, harassment, distributing malware or any other unlawful or improper purpose.

11. Intellectual property and your content

The software, interface, trademarks and related materials of the Service belong to us or our licensors. What you receive is the right to use the Service within these terms, not ownership of the software itself.

The voice and text content you produce through the Service remains yours. We process it only to the extent necessary to provide recognition, and for no other purpose. See the privacy policy for details.

12. Disclaimer and limitation of liability

The Service is provided "as is". Speech recognition is inherently probabilistic and we cannot guarantee that results are 100% correct. Please note in particular:

• For important documents, legal documents, medical records and similar uses, always have a human check the output before relying on it.
• The Service may be temporarily interrupted by maintenance, network issues, upstream providers or events beyond our control.
• To the fullest extent permitted by law, we are not liable for indirect damages, loss of business or loss of data.

In any event, our total liability to you is capped at the amount you actually paid for the Service in the 12 months before the claim arose. This clause does not exclude liability for intent or gross negligence, and does not affect your rights under consumer protection law.

13. Suspension and termination

We may suspend or terminate your account if:

• You breach these terms and do not put it right within a reasonable time after being notified.
• You obtain trial eligibility or commission by improper means.
• The account appears to be compromised, is being used abnormally, or risks harming other users.
• We are required to do so by law or by a competent authority.

14. Changes to these terms

We may amend these terms because of legal changes or changes to the Service. Amendments are published on this page along with an updated "last updated" date; if the change is significant (for example a change to how we charge) we will also notify you by email. Continuing to use the Service after publication means you accept the amended terms.

15. Governing law and jurisdiction

These terms are governed by the laws of the Republic of China (Taiwan). For any dispute arising from these terms, both parties agree to negotiate in good faith first; if that fails, the Taiwan Taipei District Court shall be the court of first instance, without prejudice to the jurisdiction rules of consumer protection law.
